These Terms of Use (“Terms”) form an agreement between you and FR Innovation (“FR Innovation,” “we,” “us,” or “our”) and govern your access to and use of our websites, mobile applications, software products, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility and Authority
You must be legally capable of entering into this agreement. If you use the Services for an organization, you represent that you are authorized to bind that organization, and “you” includes the organization. Users under the age of legal majority must use the Services only with authorization from a parent, guardian, school, or other responsible organization as applicable.
2. Accounts
You must provide accurate information, keep it current, safeguard your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless prohibited by law. Organization administrators may provision, manage, suspend, access, or delete managed accounts and workspace content according to their authority and agreement with us.
3. License and Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. You may not:
- Use the Services unlawfully, fraudulently, or to harm others.
- Access or attempt to access accounts, systems, or data without authorization.
- Interfere with security, integrity, availability, or normal operation of the Services.
- Introduce malware, scrape at unreasonable volume, or conduct automated access without permission.
- Reverse engineer, decompile, copy, modify, resell, or create derivative works from the Services except where law expressly permits.
- Upload content that infringes rights, is deceptive, illegal, abusive, or violates privacy.
- Use the Services to develop or benchmark a competing product without our written permission.
4. Your Content
You retain ownership of content you submit. You grant FR Innovation a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display that content only as needed to provide, secure, maintain, and improve the Services and meet legal obligations. You represent that you have the rights and permissions necessary to submit the content and authorize this processing.
When content is shared in an organization workspace, authorized users may access and use it under that organization’s policies. You are responsible for maintaining appropriate backups of important content.
5. FR Innovation Intellectual Property
The Services, including software, design, text, graphics, trademarks, and other materials supplied by us, are owned by FR Innovation or our licensors and protected by applicable law. Except for the limited license above, no rights are granted to you. Feedback you provide may be used by us without restriction or obligation, provided we do not identify you publicly without permission.
6. Third-Party Services
The Services may include third-party links, integrations, or components. Third parties control their services and terms. We are not responsible for third-party services, content, availability, or practices. Your use of them is at your own risk and subject to their applicable terms.
7. Fees and Subscriptions
If paid features are offered, prices, billing periods, renewal terms, taxes, and cancellation conditions will be disclosed before purchase. Except where required by law or expressly stated, fees are non-refundable. App-store purchases may also be governed by the store’s payment and refund rules.
8. Privacy
Our Privacy Policy explains how we handle personal information. By using the Services, you acknowledge those practices.
9. Service Changes and Availability
We may improve, modify, suspend, or discontinue features or Services. We aim to provide reliable service but do not guarantee uninterrupted or error-free availability. We may perform maintenance, address security issues, or respond to events outside our control.
10. Suspension and Termination
You may stop using the Services at any time and may request account deletion as described on our Account Deletion page. We may restrict, suspend, or terminate access if you violate these Terms, create risk or legal exposure, fail to pay applicable fees, or where necessary to protect the Services or users. Where appropriate, we will provide notice and an opportunity to remedy. Provisions that by nature should survive termination will remain effective.
11. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will meet every requirement, be uninterrupted, or be free from errors or harmful components. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
12. Limitation of Liability
To the maximum extent permitted by law, FR Innovation and its officers, employees, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity arising from the Services. Our aggregate liability for claims relating to the Services will not exceed the greater of the amount you paid us for the affected Service during the 12 months before the event giving rise to liability or MYR 500. These limits do not apply where liability cannot lawfully be limited.
13. Indemnity
To the extent permitted by law, organizations and business users agree to defend, indemnify, and hold harmless FR Innovation from claims, losses, and reasonable costs arising from their content, misuse of the Services, or violation of these Terms or another person’s rights.
14. Governing Law and Disputes
These Terms are governed by the laws of Malaysia, without regard to conflict-of-law principles. The courts of Malaysia will have non-exclusive jurisdiction over disputes, unless applicable consumer law requires otherwise. Before filing a formal claim, please contact us and allow 30 days to seek an informal resolution.
15. Changes to These Terms
We may update these Terms to reflect changes in the Services, law, or business practices. We will post the revised Terms and update the date above, with additional notice where required. If you continue using the Services after the effective date, you accept the revised Terms.
16. General
These Terms and referenced policies are the entire agreement regarding the Services unless a separate written agreement applies. If any provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, reorganization, or transfer of business.
